Client Responsibilities

As a client of Echo Local, you agree to:

• Provide accurate and complete information as requested
• Maintain the confidentiality of any account credentials
• Promptly notify us of any unauthorized use of your account
• Comply with all applicable laws and regulations
• Pay all fees associated with services in a timely manner
• Provide necessary access to accounts and platforms as required for service delivery

Payment Terms

By engaging our services, you agree to the following payment terms:

• Payment is due according to the terms specified in your service agreement
• Late payments may result in service suspension or termination
• All fees are non-refundable unless otherwise specified in writing
• We reserve the right to modify pricing with 30 days written notice

Intellectual Property

Unless otherwise agreed in writing:

• Echo Local retains ownership of all proprietary tools, processes, and methodologies
• Client-specific deliverables become the client's property upon full payment
• We may use anonymized case studies and results for marketing purposes
• Third-party tools and platforms remain the property of their respective owners

Limitation of Liability

To the maximum extent permitted by law:

• Echo Local shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount paid by you for services in the preceding 12 months
• We do not guarantee specific results, rankings, or revenue outcomes
• We are not responsible for third-party platform changes, algorithm updates, or policy modifications

Indemnification

You agree to indemnify and hold harmless Echo Local, Brian Egan, and our affiliates from any claims, damages, losses, or expenses arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any third-party rights
• Content or information you provide to us

Termination

Either party may terminate services:

• With 30 days written notice for any reason
• Immediately for material breach of these Terms
• Immediately for non-payment of fees

Upon termination, you remain responsible for all fees incurred through the termination date.

Disclaimers

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that:

• Services will be uninterrupted or error-free
• Results will meet your specific expectations
• Third-party platforms will remain available or unchanged

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in San Diego County, California.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.

Severability
